Terms of Service

1. Eligibility & Accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
• You agree to provide accurate, current, and complete information during registration and to update it promptly.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• We reserve the right to suspend or terminate accounts for violations of these Terms, fraud, or security risks.

2. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes (e.g., managing your farm, trading produce, generating crop reports).

You may not:

• Copy, modify, reverse-engineer, decompile, or create derivative works of the Services
• Use the Services for any illegal purpose or to violate any law (including FCCPA, NDPA 2023 in Nigeria)
• Interfere with, disrupt, or attempt unauthorized access to the Services or other users’ accounts
• Scrape, crawl, or systematically collect data from the Marketplace or other features
• Impersonate any person or misrepresent your affiliation
• Post false, misleading, infringing, or harmful content (e.g., counterfeit produce listings)

3. User Content & Marketplace Rules

You retain ownership of any content you upload or post (“User Content”), such as crop listings, farm photos, yield reports, messages. By submitting User Content, you grant Starlight a worldwide, non-exclusive, royalty-free license to host, display, distribute, and use it to operate and promote the Services.

Marketplace-specific rules:

• Listings must be accurate, legal, and comply with applicable trade laws
• You are solely responsible for fulfilling transactions (delivery, quality, payment disputes)
• Starlight acts as a platform facilitator only — we are not a party to buyer-seller contracts
• Prohibited items include illegal goods, hazardous materials, or counterfeit products
• We may remove listings or suspend users for violations, fraud, or complaints

4. Payments, Fees & Subscriptions

• Certain features (premium insights, priority listings, advanced reports) may require paid subscriptions or transaction fees.
• Fees are quoted in the app/platform and are non-refundable except as expressly stated.
• Payments are processed via secure third-party providers; we do not store full card details.
• You are responsible for all taxes, duties, or levies applicable to your use or transactions.
• We may change pricing with 30 days’ notice (via email or in-app).

5. Intellectual Property

The Services, including software, designs, text, graphics, logos, Smart Farming algorithms, Dashboard layouts, and reports, are owned by Starlight or our licensors and protected by copyright, trademark, and other laws. No ownership rights are transferred to you.

6. Disclaimers & Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind (express or implied), including accuracy of crop insights, market prices, or farming recommendations.

To the maximum extent permitted by law, Starlight is not liable for indirect, incidental, consequential, special, or punitive damages (lost profits, crop loss, data loss, etc.), even if advised of the possibility.

Our total liability shall not exceed the fees you paid us in the 12 months preceding the claim (or ₦500,000 / $1,000, whichever is lower).

7. Indemnification

You agree to indemnify and hold Starlight harmless from claims, losses, liabilities, damages, costs (including legal fees) arising from your use of the Services, User Content, violation of these Terms, or infringement of third-party rights.

8. Termination

We may suspend or terminate your access at any time for breach of these Terms, non-payment, illegal activity, or at our discretion with or without notice.

Upon termination, your license ends; you must cease using the Services. Some provisions (IP, disclaimers, indemnification, governing law) survive termination.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of laws principles.

Any disputes shall first attempt informal resolution; failing that, they shall be resolved exclusively in the competent courts of Lagos, Nigeria.

10. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email, in-app notice, or prominent posting. Continued use after changes constitutes acceptance.
